BOARD NEWS

                                                                                                   May 9, 2008
 
Dear Parents:
 
I am pleased to inform you that, over the past few weeks, the Committee on Trustees has been engaged in the crucial work of meeting with prospective candidates for the elections of the ISM Board of Trustees (the “Board”).
 
As you will remember, three (3) members of the present Board of Trustees will be, pursuant to our By-laws, vacating their positions as members of the Board by the end of this school year. One of said three (3) outgoing Board members is a Trustee from the ranks of Sustaining/Honorary Membership: Mr. Pedro Roxas; while the other two (2) are from the ranks of Associate Membership: Mr. Eduardo “Loy” Saguil and Ms. Betta Gallego-Kramer. In our search for the right team, we looked for a balance of skills - in areas such as finance and administration - that would help provide the School with the kind of guidance necessary to ensure that the institution thrives in these demanding times. We also looked for people with experience of leadership work at board level and who would complement the skills and talents of the other Trustees and the school leadership.
 
After much consideration, we would like to endorse to the community the following candidates:
 
1. MS. MARGARITA L. DELGADO is an Associate Member with four (4) children enrolled at ISM. She is also an Honorary Member by virtue of her service as a member of the ISM Board in the years from 1995 to 1998 and as ISM Interim Board member. She is currently the President of Sa Aklat Sisikat Foundation, Inc. a non-profit professional Philippine organization that promotes the love and habit of reading in Filipino children. She is also the Vice President for Quality Enhancement at Delbros Inc. However, Ms. Delgado entered her candidacy, at this time, as an Honorary Member and is, consequently, a candidate from the ranks of the Sustaining/Honorary Membership.
 
2.    MR. AURELIO “GIGI” MONTINOLA III is an Associate Member with one (1) child enrolled at ISM. He is also an Honorary Member by virtue of his service as an ISM Interim Board member. He is currently the President and CEO of the Bank of Philippine Islands (BPI). Mr. Montinola entered his candidacy, at this time, as an Associate Member and is, consequently, a candidate from the ranks of the Associate Membership.
                        
3.    MR. JOHN C. “CHRIS” WOOD is an Associate Member with two (2) children enrolled at ISM. He is currently working at the U.S. Department of State, American Embassy here in Manila as Counselor for Regional Affairs. He became a member of the U.S. Foreign Service in 1989 and served on assignments at U.S. Embassies in Germany, Pakistan, Turkey, Afghanistan, and held multiple assignments in Washington, D.C. before coming to Manila in 2007. Mr. Wood entered his candidacy as an Associate Member and is, consequently, a candidate from the ranks of the Associate Membership.
 
For your information, the resumes and letters of intent <click here> of the candidates are available at the ISM website (www.ismanila.org) as well as they may be obtained from the Board Secretary, Ms. Luz de Jesus (Room P089, Administration Office). I am sure that, when you read these, you will understand why we were so impressed during the interviews.
 
The process now is that, beginning on 13 May 2008 (Tuesday), there will be a seven (7) working day period during which voting members of the community may cast their ballots early. A ballot box for this purpose will be established in the administration area adjacent to the office of the Corporate Secretary (Room P090, Administration Office). Votes may be cast between the hours of 7:30 a.m. and 4:00 p.m. The last day for early voting in this election will be on 21 May 2008 (Wednesday).
 
On Thursday, 22 May 2008, we shall hold the Annual General Meeting (AGM), with registration at 5:30 p.m., and formal opening at 6:00 p.m., where those community members who have not voted before may also cast their ballots. The auditing company KPMG-Manabat & Sanagustin Co. will be responsible for tallying the votes and results will be made available on that same evening.
 
I do hope that you demonstrate your faith in this process by voting and thus provide the new Board of Trustees with a clear mandate to help lead your School into the future.

PROCEDURE FOR VOTING
 
IN THE NEXT DAYS, YOU WILL RECEIVE YOUR PACKETS FOR THE 22 MAY 2008 AGM WHICH WILL CONTAIN THE FOLLOWING:
  1. PINK Ballot Form; and
  2. YELLOW Proxy Form
Option 1. EARLY VOTING (13-21 May, 7AM to 4PM)
  • Complete the PINK Ballot Form enclosed in the AGM Packet which you will receive by personal delivery/courier
  • Drop in Ballot Box located at the Administration Office (P089) – look for Ms. Luz de Jesus
  • Complete the YELLOW Proxy Form enclosed in the AGM Packet which you will receive by personal delivery/courier
  • Submit at the Administration Office (P089) – look for Ms. Luz de Jesus
Option 2. VOTE AT THE AGM (5:30pm - start of registration. 6:00pm - start of formal AGM)
  • Attend the AGM on 22 May at the FAT
  • Complete the PINK Ballot Form enclosed in the AGM Packet which you will receive by personal delivery/courier
  • Drop in Ballot Box located outside the FAT
